By accessing https://creativityds.us or engaging our services, you agree to these Terms and Conditions. These terms govern website use and service contracts. Email communications are legally binding. We may update these terms, with changes effective upon posting. Material changes will be notified at least 30 days in advance.

1. Website Use

• Access: Your use of this website is at your sole risk, provided “as is” without warranties.

• Third-Party Links: We are not responsible for third-party websites linked from our site.

• Termination: We may suspend or terminate website access for any reason without liability.

2. Payment Terms

• Authorization: By submitting payment, you affirm you are the authorized cardholder and authorize Creativity Design Studio LLC to charge the specified amount.

• Deposits: Projects >$600 require a 50% non-refundable deposit; projects ≤$600 require full prepayment. Deposits are forfeited if canceled after 24 hours.

• Payment Methods: See table below.

• Clearance & Final Payment: Work begins only after payment clears.
  The final payment is due immediately upon project completion and must be received before the website is launched or final files are transferred.

• Late Payments: If a client fails to make the final payment due at completion within 30 days, we reserve the right to suspend the project and charge a late fee of 5% per month on the outstanding balance.

3. Project Approval, Revisions & Completion

• Revisions: 3 free revisions within 7 days of delivery. Additional revisions: $50/hour (1-hour minimum; written request required).

• Final Approval: Approval of final files constitutes acceptance under Florida’s “as-is” doctrine (FS 672.316). No modifications or refunds post-approval. We are not liable for errors in client-provided or approved work.

• Project Completion & Launch:
  1. Definition of Completion: The project is complete when we have delivered all items in the project scope and the client provides written approval.

  2. Post-Completion Changes: Any changes after completion are a new scope of work, billed separately.

4. Cancellations and Refunds

• Digital Services: No refunds for approved designs, SEO, hosting, or domain services. Cancellations forfeit unused prepaid time.

• Physical Products: Reprints only for defects >5%. Claims require photo/video proof within 3 days. No returns for color variations (<5%) or errors in client-provided files.

• Deposits: All deposits are non-refundable.

• Other Cancellations: See table below.

5. Delivery and Ownership

• Delivery: Digital delivery via email/Google Drive is proof of delivery. Files deleted after 90 days. Physical products confirmed via tracking.

• Ownership: Rights transfer after full payment. Chargebacks forfeit usage rights.

6. Design Services

• Custom Designs: Client selects one design; unselected designs remain our property.

• Delivery: Files via Google Drive, email, or USB.

7. Online Services

• SEO: No guaranteed rankings.

• Hosting: 30-day cancellation notice. Non-refundable annual fees. Immediate suspension for non-payment; data deleted after 30 days.

• Domain Registration: Annual renewal; client must request. 30-day grace period; $100 + renewal for redemption.

8. Printing Services

• Materials: Magnetic signs not guaranteed on non-ferrous surfaces; <5% color variation standard.

• Ownership: Files released after payment. Unpaid orders discarded after 30 days ($20/day storage).

9. International Clients

• Currency: USD; client pays wire fees.

• Customs/Duties: Client’s responsibility.

• Jurisdiction: Osceola County, FL.

10. Intellectual Property

• Portfolio Use: Permitted unless an NDA is signed.

• Copyright Transfer: Occurs after full payment. Unauthorized use may result in liability of 3x the invoice amount.

11. Dispute Resolution

• Mandatory Mediation: All disputes must first be submitted to mediation in Osceola County, FL (costs split).

• Fees: Unauthorized chargebacks incur a $500 dispute fee plus all associated legal and collection costs.

• Court Actions & Costs: If mediation fails and legal action is necessary, the prevailing party shall be entitled to recover all reasonable court costs, filing fees, and expenses incurred in such action, in addition to any other relief awarded. This includes actions filed in small claims court.

• Jurisdiction: By using our services, you agree that exclusive jurisdiction for any dispute lies with the courts of Osceola County, Florida.

12. General Provisions

• Right to Reject: We may refuse service based on chargeback, fraud, or legal threat history.

• Force Majeure: No liability for delays due to fraud, cyberattacks, or natural disasters.

• Electronic Communications: By contacting us, you consent to receive calls, texts, and emails. You may opt out anytime.

13. Website Migration and Third-Party Components

• Migration Responsibility: Upon delivery of website files (including WordPress files and database exports), the client assumes full responsibility for migrating the website to their chosen hosting environment. Creativity Design Studio LLC does not provide migration services unless separately agreed in writing.

• Third-Party Components: Websites may include third-party themes, plugins, or other components. The client is solely responsible for obtaining and maintaining required licenses, updates, and support for these components after delivery. Creativity Design Studio LLC makes no warranties regarding their future compatibility, functionality, or security.

• No Warranty After Transfer: Creativity Design Studio LLC does not warrant or guarantee website performance, compatibility, or functionality after transfer to a third-party hosting environment. The website is provided “as-is,” and the client assumes all migration and ongoing operational risks.

• Credentials: If temporary credentials are provided for migration, the client must change all credentials immediately upon access. Creativity Design Studio LLC is not liable for unauthorized access or damages resulting from the client’s failure to change credentials.

• Completion of Obligations: Delivery of website files constitutes completion of Creativity Design Studio LLC’s contractual obligations, irrespective of the client’s ability to successfully migrate or operate the website elsewhere.
